Terms of Service

1. Agreement to Terms

By accessing or using ISV.me ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

ISV.me is a marketplace platform that facilitates the buying and selling of domain names between users. Our unique feature includes:

  • Donating 2% of platform profits to charitable organizations (with potential increase as the platform grows)
  • Requiring both buyers and sellers to contribute donations (minimum 1% each per completed deal)
  • User-selected charity organizations through yearly voting cycles

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

4.1 Account Creation

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • Maximum of 5 account registrations per IP address within 7 days
  • You may register using an email address and password, or sign in with Google OAuth

4.2 User Profile

  • You may optionally provide additional profile information: real name, gender, phone number, avatar/profile photo, country/region, and a custom display ID
  • Profile information marked as optional is never required and may be left blank
  • Your nickname, custom ID, country flag, avatar, and reputation are visible to other users; real name, gender, phone number, and email are kept private
  • You are responsible for ensuring any information you provide is accurate and lawful
  • You may update or remove optional profile information at any time through Account Settings

4.3 Account Security

  • You must immediately notify us of any unauthorized use of your account
  • We reserve the right to suspend or terminate accounts that violate these Terms
  • Two-factor authentication is strongly recommended

5. Domain Listing and Verification

5.1 Seller Obligations

  • You must own or have legal rights to sell any domain you list
  • You must verify domain ownership through:
    • TXT record verification, OR
    • Email verification to admin@[domain]

5.2 Prohibited Domains

The following domains are strictly prohibited:

  • Domains related to politics or political campaigns
  • Domains with adult or explicit content
  • Domains infringing on trademarks or intellectual property
  • Domains used for illegal activities
  • Domains promoting hate speech, violence, or discrimination

5.3 Pricing and Donations

  • Sellers set their domain price
  • Buyer donation: minimum 1% of deal value
  • Seller donation: minimum 1% of deal value (seller may choose a higher percentage)
  • All prices are in USD unless otherwise specified

6. Transactions and Payments

6.1 Payment Processing

  • All transactions are processed through Stripe Connect
  • Payment methods accepted: Credit cards, Stripe, Apple Pay
  • Funds are held in escrow until domain transfer is completed

6.2 Escrow Process

  1. Buyer pays the full amount
  2. Funds are held in escrow by our payment processor
  3. Seller initiates domain transfer
  4. Buyer confirms receipt of domain
  5. Funds are released to seller (minus fees and donations)

6.3 Fees

  • Buyer platform fee: 5% of sale price
  • Seller platform fee: 5% of sale price
  • Payment processing fees: As charged by payment provider
  • Charity donation model: buyer minimum 1% + seller minimum 1% (or higher seller-selected percentage)

6.4 Refunds and Chargebacks

  • Refunds are available if domain transfer fails within 30 days
  • Fraudulent transactions will be refunded
  • Chargebacks may result in account suspension pending investigation

7. Domain Transfer

7.1 Seller Responsibilities

  • Unlock domain and provide authorization code within 5 business days
  • Ensure domain is not locked or in dispute
  • Provide all necessary information for transfer

7.2 Buyer Responsibilities

  • Provide accurate registrar account information
  • Accept domain transfer within specified timeframe
  • Confirm receipt of domain to release escrow

7.3 Transfer Failures

  • If transfer fails due to seller error, full refund issued
  • If transfer fails due to buyer error, dispute resolution process initiated

8. Charitable Donations

8.1 Donation Distribution

  • 2% of platform profit is donated to user-selected charities
  • Buyers contribute at least 1% per completed deal
  • Sellers contribute at least 1% per completed deal (can set higher)
  • Charity selection determined by yearly user voting
  • Only verified, legitimate charitable organizations are eligible

We are a small team and are doing our best to contribute to society through this platform. As the business grows, we may increase the platform-profit donation commitment (for example, to 3% or more).

8.2 Voting Process

  • One vote per verified user per yearly cycle
  • Voting cycle runs on a yearly basis (January to December)
  • Top 10 charities receive donations proportional to votes
  • Anti-bot measures and verification required for voting

8.3 Donation Transparency

  • Monthly reports published showing total donations
  • Donation receipts available to contributing sellers
  • Charity distribution publicly disclosed

9. User Conduct

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Impersonate any person or entity
  • Interfere with or disrupt the Service
  • Attempt to bypass security measures or rate limits
  • Use automated bots or scrapers without permission
  • Manipulate votes, reviews, or ratings
  • Engage in fraudulent transactions
  • Upload malicious code or viruses

10. Intellectual Property

10.1 Platform Content

  • All platform content, design, logos, and trademarks are owned by ISV.me
  • You may not use our intellectual property without written permission

10.2 User Content

  • You retain ownership of domains you list
  • You grant us license to display domain information on the platform
  • You represent that you have rights to all content you upload

11. Dispute Resolution

11.1 User Disputes

  • Transaction disputes handled through our dispute resolution system
  • Good faith negotiation required before escalation
  • Platform may mediate disputes at its discretion

11.2 Arbitration

  • Disputes not resolved through our system shall be submitted to binding arbitration
  • Arbitration conducted under rules of American Arbitration Association
  • Located in [Jurisdiction], governed by [State/Country] law

12. Disclaimers

12.1 Service "As Is"

  • Service provided "as is" without warranties of any kind
  • We do not guarantee uninterrupted or error-free service
  • We do not guarantee successful domain transfers

12.2 Third-Party Services

  • We are not responsible for third-party services (registrars, payment processors)
  • We are not responsible for domain quality or value
  • We are not responsible for charity organization operations

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the fees you paid in the past 12 months
  • We are not liable for losses due to your breach of these Terms

14. Indemnification

You agree to indemnify and hold harmless ISV.me from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your fraudulent or illegal activities

15. Modifications to Service and Terms

15.1 Service Changes

  • We reserve the right to modify or discontinue the Service at any time
  • We will provide notice of material changes when possible

15.2 Terms Updates

  • We may update these Terms from time to time
  • Continued use after changes constitutes acceptance
  • Material changes will be notified via email

16. Account Termination

16.1 Termination by User

  • You may terminate your account at any time
  • Outstanding transactions must be completed
  • Donations are non-refundable

16.2 Termination by Platform

We may suspend or terminate your account for:

  • Violation of these Terms
  • Fraudulent activity
  • Suspicious or illegal behavior
  • Chargebacks or payment disputes
  • Inactivity for extended periods

17. Governing Law

These Terms shall be governed by the laws of [Your Jurisdiction], without regard to conflict of law provisions.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
